Upstox Explores IPO Plans as User Base Crosses 2 Crore

Upstox, one of India’s biggest investment platforms, is exploring a potential initial public offering (IPO) as the online brokerage looks to raise around $350-400 million, or approximately ₹3,351-3,829 crore.

The investment app has reportedly started preliminary discussions with investment banks about the potential offering. If the IPO moves forward, the company could raise money by issuing new shares while also allowing some of its early investors to sell part of their holdings.

The move would put Upstox among a growing group of Indian fintech companies exploring the public markets as digital investing becomes increasingly mainstream.

From Startup to Unicorn

Upstox became a unicorn in 2021, reaching a valuation of around $3.5 billion. The company has attracted backing from prominent investors, including Tiger Global, while the late Ratan Tata was also an early and well-known investor in the brokerage.

The company has since expanded its presence in India’s rapidly growing retail investing market, competing with established platforms for a larger share of the country’s individual investors.

An IPO could give Upstox access to additional capital for expansion while providing existing shareholders with a potential route to realise part of their investments.

Upstox Crosses 2 Crore Verified Users

The potential IPO comes as Upstox reaches another major milestone. The platform has crossed 2 crore, or 20 million, verified users, highlighting the rapid expansion of retail participation in India’s financial markets.

A significant portion of these users reportedly comes from smaller cities across India, showing how investing and trading platforms are increasingly reaching beyond the country’s major metropolitan centres.

Upstox has set an ambitious target of reaching 10 crore users within the next five years.

The growth reflects a broader shift in how Indians access financial markets. Smartphone-based investment platforms have made it easier for first-time investors to open accounts, track markets and buy financial products without relying on traditional brokerage channels.

Top Five Brokerage in Active Clients

Upstox is already among India’s top five brokerages by active clients, as of July 31.

Maintaining that position will be important as competition in India’s discount-brokerage industry intensifies. Platforms are competing not only on brokerage costs but also on user experience, financial products, educational content and access to global markets.

Upstox is also moving toward expanding the investment options available to its customers.

Upstox Gets GIFT City Approval for US Stocks

The company has received regulatory approval to facilitate international and US stock investing through GIFT City, potentially making overseas investing more accessible to Indian customers.

The development could allow investors to gain exposure to international markets through a platform they already use for domestic investments.

For Upstox, the combination of a rapidly expanding user base, international investing capabilities and potential access to public-market capital could mark an important new phase in its growth.

However, the IPO discussions are still at a preliminary stage, and the final size, structure and timing of any public offering could change.

If Upstox does eventually go public, its IPO will offer investors a chance to evaluate one of India’s most prominent digital brokerage platforms at a time when retail participation in the country’s capital markets is reaching new highs.
