Bumble is set to go private in a $1.3 billion deal with Ithaca Holdings, as the dating app continues to struggle with declining user engagement and changing preferences among younger consumers. The proposed takeover comes after years of efforts to revive growth at the company, which once stood out in the online dating industry with its women-first approach.

Shares of Bumble surged 56% to $5.95 in early trading on Tuesday, October 13, following a 50% jump on Monday after reports of advanced negotiations over the acquisition emerged. Ithaca has offered $6.05 per share, representing a 122.4% premium to Bumble’s closing price on June 24, the day before Reuters reported that the company was exploring a potential sale.

The transaction marks a significant turning point for Bumble, whose market value has fallen sharply from its peak following its public listing in 2021. The company’s valuation stood at approximately $582 million at Monday’s close, compared with the roughly $14 billion valuation it commanded when it went public.

Under the proposed arrangement, Ithaca co-founders Ravi Gupta and John Hegeman will become Bumble’s co-chief executive officers following the takeover. Blackstone, which owns approximately 14% of Bumble, and founder Whitney Wolfe Herd have provided the required shareholder approval for the deal.

Bumble struggles as dating habits change

Founded in 2014 by Whitney Wolfe Herd, Bumble built its identity around giving women greater control over initiating conversations on its platform. The approach helped distinguish the company from competitors and established its position as a major name in online dating.

However, the dating landscape has changed considerably, particularly among Generation Z users. Younger consumers are increasingly experiencing fatigue from endless swiping and are exploring more organic ways to meet potential partners and develop relationships.

Bumble and Match Group, the owner of Tinder and Hinge, have both faced challenges in maintaining user engagement. However, Match has performed relatively better, supported by its diverse portfolio of dating platforms and Hinge’s international expansion.

Hinge has attracted users seeking more meaningful relationships through detailed profiles and features designed to encourage conversations beyond conventional swiping. This positioning has put additional pressure on Bumble as competition for relationship-oriented users intensifies.

“With Hinge having gained and continuing to gain share of more intentioned daters, Bumble’s niche has eroded. The management, brand, and strategy changes have also not helped,” said Chandler Willison, a TMT research analyst at M Science.

Pricing changes and AI tools fail to revive growth

Bumble has experimented with several strategies to reverse its slowdown, including price increases, extended reply windows, artificial intelligence tools and offline events. The company has also tested an AI-powered matchmaking assistant to address dissatisfaction with traditional dating app experiences.

Wolfe Herd returned as CEO in March 2025 after stepping down in 2023, leading another effort to improve the company’s performance. Bumble also rolled back its signature women-first messaging feature in 2026 as part of its attempts to improve user retention.

Despite these initiatives, the company’s financial performance has remained under pressure. Bumble’s paying users fell 16.4% to 3.2 million in the second quarter of 2026, while quarterly revenue has been declining for nearly two years.

The introduction of AI-assisted messaging and matchmaking has yet to deliver the recovery the company needs. While such tools could potentially make dating apps more personalised and easier to use, they have not yet overcome the broader challenges associated with user fatigue and changing consumer expectations.

Ithaca takeover signals a new chapter

The acquisition by Ithaca Holdings could give Bumble an opportunity to reassess its strategy away from the pressures associated with being a publicly traded company. With a new leadership structure expected after the takeover, the focus will likely turn to rebuilding user engagement, strengthening the brand and establishing a clearer competitive position.

The deal also highlights the difficulties faced by dating platforms that once benefited from rapid adoption but now need to persuade users that their services offer meaningful value.

For Bumble, the challenge extends beyond introducing new features or incorporating AI into the matchmaking process. The company must address why users are leaving, what younger audiences expect from online dating and how it can differentiate itself from rivals such as Tinder and Hinge.

The proposed $1.3 billion transaction comes as the online dating industry confronts a broader shift in consumer behaviour. Whether private ownership can help Bumble regain its momentum remains to be seen, but the takeover offers a fresh opportunity to reshape a business that has struggled to reproduce its early success.
