Encode, a nonprofit advocating for ethical AI, has joined Elon Musk in his legal battle to stop OpenAI from transitioning to a for-profit entity. The organization filed an amicus brief in the U.S. District Court for the Northern District of California, supporting Musk’s injunction against the move. Encode argued that the shift would undermine OpenAI’s original mission to develop AI safely and publicly beneficially.

The brief stated that OpenAI’s transition to a Delaware Public Benefit Corporation (PBC) risks prioritizing financial gains over public safety. Encode emphasized the potential dangers of relinquishing nonprofit control over transformative technologies like artificial general intelligence (AGI).

Encode, a nonprofit group, joins Elon Musk’s effort to block OpenAI’s for-profit transition by filing an amicus brief in court. Encode’s founder and president, Sneha Revanur, criticized OpenAI’s plan, accusing the company of prioritizing profits while ignoring societal consequences. Revanur called for judicial intervention to ensure AI development aligns with the public interest. The brief highlighted that as a PBC, OpenAI would have no enforceable duty to prioritize public safety, potentially leading to harmful outcomes.

AI experts Geoffrey Hinton, a Nobel Laureate, and Stuart Russell, a UC Berkeley professor, backed Encode’s stance. Hinton expressed concerns over the message sent, which allowed OpenAI to abandon its safety-focused nonprofit origins. Encode noted that OpenAI’s safety-related promises, such as ceasing competition with value-aligned projects close to achieving AGI, would lose enforcement under the new structure.

OpenAI’s Transition Plan

OpenAI, founded as a nonprofit in 2015, initially focused on developing AI technologies for the benefit of humanity. Over time, its research became capital-intensive, leading to the creation of a hybrid structure with a for-profit arm controlled by a nonprofit. The for-profit operates under a capped profit model, ensuring a portion of earnings supports the nonprofit’s mission.

The proposed transition would convert OpenAI’s for-profit arm into a PBC. This structure requires balancing profit motives with societal benefits. OpenAI’s nonprofit arm would retain shares in the PBC but relinquish operational control. Critics argue this move could weaken accountability and safety commitments.

Industry Backlash

Musk, an early supporter of OpenAI, accused the organization of abandoning its philanthropic goals and using anti-competitive practices. He filed a lawsuit in November to block the transition. Meta, an AI rival, also expressed concerns, warning of significant implications for Silicon Valley if OpenAI’s shift proceeds.

Encode echoed these fears, asserting that OpenAI’s transition would transform it into a standard profit-driven enterprise. The brief highlighted the risks of diluted safety standards and reduced transparency in AI development.

Broader Implications for AI Governance

Founded with a mission to prioritize safety and societal benefit, OpenAI now faces criticism for potentially sidelining these values in favor of financial gains. Encode’s amicus brief argues that a shift to a profit-driven structure could dilute OpenAI’s commitment to ethical AI development. Critics are highlighting how a nonprofit group joined Elon Musk’s effort to block OpenAI’s for-profit transition to protect AGI safety.

The debate over OpenAI’s restructuring underscores broader concerns about AI governance and accountability. Encode, founded in 2020, has been involved in shaping AI-related policies, including the White House AI Bill of Rights and President Joe Biden’s executive order on AI. The nonprofit stressed that decisions regarding AGI development must prioritize safety, ethics, and the public good.
