Bengaluru-based Shadowfax Technologies, one of India’s fastest-growing logistics service providers, has taken a decisive step toward its stock market debut. The company, known for its tech-driven approach to delivery and supply chain operations, filed its Updated Draft Red Herring Prospectus (UDRHP-I) with the Securities and Exchange Board of India (SEBI) on October 31, 2025, for a ₹2,000-crore initial public offering (IPO).
Founded by Abhishek Bansal and Vaibhav Khandelwal, Shadowfax plans to issue fresh shares worth ₹1,000 crore, while another ₹1,000 crore will be raised through an offer for sale (OFS) by existing shareholders — including some of the biggest names in the venture capital world.

Flipkart, TPG, Qualcomm, and IFC to Partially Exit
The OFS portion of the IPO will see a partial stake sale by Shadowfax’s marquee backers, including Walmart’s Flipkart Internet, Eight Roads Investments Mauritius, TPG’s NewQuest Asia Fund, Nokia Growth Partners, International Finance Corporation (IFC), Mirae Asset, Qualcomm, and Snapdeal cofounders Kunal Bahl and Rohit Bansal.
Promoters currently hold 20.26% of the company’s equity, while the remaining 79.74% is owned by public shareholders. Among these, NewQuest Asia Fund, Eight Roads Investments, and Flipkart Internet each hold over 14%, making them the largest stakeholders.
This partial exit by long-term investors signals confidence in Shadowfax’s maturity and market-readiness — a transition from startup hustle to public-market discipline.
What Happens Next in the IPO Journey
According to the company’s statement, the UDRHP-I will remain open for public comments for at least 21 days from its filing date. Based on the feedback received and any observations from SEBI, Shadowfax may file a UDRHP-II, incorporating necessary changes.
Interestingly, SEBI had already approved Shadowfax’s confidentially filed draft papers on October 7, 2025 — a sign that the company’s IPO process is well on track. If there are no major comments or regulatory observations, Shadowfax could soon proceed to file the Red Herring Prospectus (RHP) with the Registrar of Companies (RoC), setting the stage for its listing on Indian stock exchanges.
ICICI Securities, Morgan Stanley India, and JM Financial are serving as the lead book-running managers for the IPO.
Strong Financial Performance Bolsters Listing Plans
Shadowfax’s numbers paint the picture of a logistics player in high gear. For the six months ended September 2025, the company reported a net profit of ₹21 crore, marking a 113.9% jump compared to ₹9.8 crore in the same period last year.
Revenue during the same half-year surged 68.4% to ₹1,805.6 crore, up from ₹1,072 crore in the previous fiscal period. Impressively, the company has already achieved 72% of its FY25 full-year revenue in just six months, underlining strong operational momentum.
Shadowfax processed 29.4 crore orders during this period — a 50.1% CAGR compared to the previous year. The company’s growth trajectory places it in direct competition with listed logistics peers like Blue Dart Express and Delhivery.
Where the IPO Proceeds Will Go
Shadowfax plans to channel the proceeds from the ₹1,000-crore fresh issue into several strategic areas to strengthen its operations. About ₹423.4 crore will be used to expand its network infrastructure, while ₹138.6 crore is earmarked for lease payments on new first-mile, last-mile, and sort centers.
An additional ₹88.6 crore will go toward branding, marketing, and communication efforts, signaling an aggressive post-IPO brand push. The remaining funds will be allocated to inorganic acquisitions and general corporate purposes.
