ITC Ltd has strengthened its position in India’s fast-growing health and wellness foods market by acquiring the remaining 52.5 per cent stake in Sproutlife Foods Private Ltd, the company behind the Yoga Bar brand, for around Rs 645 crore.

The transaction, completed on September 28, gives ITC full ownership of Sproutlife Foods. The company had previously held around 47.5 per cent of the business and has now increased its stake to 100 per cent.

ITC disclosed the transaction in a regulatory filing on Monday, stating that it purchased 13,445 equity shares of Sproutlife Foods through a secondary transaction for cash consideration. Following the deal, Sproutlife Foods has become a wholly owned subsidiary of ITC with effect from September 28.

ITC Deepens Bet on Health-Focused Foods

The acquisition is part of ITC’s broader strategy to build what it describes as a “future-ready” portfolio in the foods business. The company has been expanding beyond its traditional consumer businesses and increasing its presence in categories aligned with changing consumption habits.

Sproutlife Foods operates under the Yoga Bar brand, which offers products positioned around health, nutrition and convenience. Its portfolio includes nutrition-focused packaged foods catering to consumers looking for alternatives to conventional snacks and breakfast products.

The acquisition gives ITC complete control over the brand and its operations, potentially allowing the conglomerate to further integrate Yoga Bar into its wider foods portfolio.

Unlike a fresh investment into the company, the transaction involved a secondary purchase, meaning ITC acquired existing shares from current shareholders rather than issuing new capital to Sproutlife Foods.

ITC said no regulatory approvals were required for completing the transaction.

Yoga Bar Records Sharp Growth

The deal comes as Sproutlife Foods has recorded significant growth in its business in recent years.

According to ITC’s disclosure, Sproutlife Foods reported a turnover of Rs 452 crore in 2025-26. That represents a substantial increase from Rs 200 crore in 2024-25 and Rs 108 crore in 2023-24.

The company’s turnover has therefore more than doubled over the past two financial years, highlighting the expansion of the Yoga Bar business before ITC moved to acquire full ownership.

Sproutlife Foods was incorporated in February 2015 and manufactures and sells products under the Yoga Bar trademark. Its growing revenues have made the company an increasingly significant part of ITC’s broader foods strategy.

For ITC, taking full ownership could provide greater control over the brand’s future direction, product development and distribution while allowing Yoga Bar to potentially benefit from the conglomerate’s established distribution and retail network.

The transaction also reflects the growing interest of large consumer companies in health and nutrition-focused brands. As consumer preferences evolve, established businesses have increasingly looked to expand their portfolios through brands operating in newer and faster-growing food categories.

With Sproutlife Foods now fully owned by ITC, the conglomerate will have direct control over Yoga Bar as it continues to expand its presence in the packaged foods market. The Rs 645-crore transaction marks another step in ITC’s efforts to build a broader and more diversified foods portfolio around changing consumer preferences.
