Prism, the parent company of hospitality startup OYO, has cut the proposed fresh issue component of its initial public offering (IPO) from ₹6,650 crore to ₹3,350 crore, marking another significant development in its prolonged journey towards a stock market debut. The move comes after years of delays and changing plans since the company first targeted a public listing in 2021.

The reduction represents a cut of nearly 50% in the planned fresh capital raise, signalling a change in the company’s approach to its much-anticipated IPO. While the revised issue size reduces the amount of new capital Prism intends to raise through the offering, the company’s broader listing plans remain focused on entering the public markets.

The latest development comes as India’s primary market continues to attract attention from investors, with several prominent companies exploring or preparing for public offerings in 2026.

From $12 Billion Valuation Ambitions to IPO Delays

OYO’s path towards a public listing has been marked by repeated changes in timing, valuation expectations and financing strategies. The company initially pursued an IPO in 2021, when it sought a valuation of approximately $12 billion. However, market conditions, business challenges and adjustments to its listing plans contributed to delays in its public market debut.

Like several technology-driven businesses that expanded rapidly during the startup funding boom, OYO has had to navigate changing investor expectations and a more demanding fundraising environment. Companies that once attracted substantial private-market valuations have increasingly faced pressure to demonstrate sustainable growth, stronger financial performance and a clearer path to profitability.

During the intervening years, OYO turned to debt financing and other funding avenues as it continued operating while postponing its public listing. These developments have made the company’s IPO one of the more closely watched potential listings in India’s technology and hospitality sectors.

The latest reduction in the fresh issue size reflects a revised capital-raising plan, although the change alone does not establish the reasons behind the decision or indicate whether the company’s valuation expectations have changed.

Why the Indian IPO Market Matters

Prism’s renewed push towards a listing comes amid heightened activity in India’s IPO market. Investor interest in large businesses, established consumer brands and technology-led companies has helped maintain attention on the country’s primary markets.

Jio Platforms, another major company attracting investor interest, has added to the anticipation surrounding India’s upcoming public offerings. A successful listing by a prominent company can draw greater attention to the IPO market, although investor appetite varies depending on valuation, financial performance, sector outlook and broader market conditions.

For Prism, the timing of a potential offering will be important. Public markets can provide access to a wider pool of investors, improve visibility and create opportunities to strengthen the company’s financial position. However, a listing also brings greater disclosure requirements, regulatory scrutiny and pressure to deliver consistent results to shareholders.

Reducing the planned fresh issue could alter the amount of capital available to the company from the offering. The final implications will depend on the structure of the IPO, its pricing and the terms disclosed in the formal offer documents.

What the Revised IPO Means for OYO

A fresh issue involves a company issuing new shares to raise capital, with the proceeds going to the company rather than directly to existing shareholders. It differs from an offer for sale, in which existing shareholders sell their holdings to public investors.

By reducing its proposed fresh issue from ₹6,650 crore to ₹3,350 crore, Prism has substantially lowered the amount of new equity capital planned under this component of the offering. The revised figure does not, by itself, establish the total size of the IPO, since any offer-for-sale component would need to be considered separately.

The eventual proceeds could support the company’s financial priorities, depending on the intended use of funds outlined in its offer documents. Investors will also examine OYO’s business performance, debt obligations, growth prospects and ability to generate sustainable earnings when evaluating the offering.

For a hospitality platform operating across markets and relying on partnerships with property owners, investor confidence will depend on more than the excitement surrounding a listing. Financial discipline, operating performance and the ability to maintain growth will remain important considerations.
