Tata Capital, the financial services arm of the renowned Tata Group, is preparing to launch a significant initial public offering (IPO) worth $2 billion (approximately ₹17,200 crore) during the week starting September 22, 2025. This strategic move aims to strengthen Tata Capital’s capital base and support its future growth ambitions, marking an important milestone in the company’s journey as an upper-layer non-banking financial company (NBFC).

IPO Details and Major Shareholders:

The planned IPO will comprise a total of 47.58 crore shares, featuring a fresh issue of 21 crore equity shares and an offer for sale (OFS) of 26.58 crore shares. Tata Sons, which currently holds an 88.6% stake in Tata Capital, plans to sell 23 crore shares through the OFS, while the International Finance Corporation (IFC), a minority shareholder with about 1.8% stake, will offload 3.58 crore shares. Tata Capital is targeting an $11 billion valuation through this offering, signaling a strong investor appetite for the company’s financial services portfolio.

Fund Utilization and Regulatory Compliance:

The proceeds from this IPO will be channelled towards strengthening Tata Capital’s Tier-1 capital base, which will enhance the company’s ability to meet future capital needs such as onward lending. This strategic capital infusion is timely, as it aligns with the Reserve Bank of India’s (RBI) listing requirements for upper-layer NBFCs. According to RBI regulations, such NBFCs must get listed within three years of being classified as upper-layer entities. Tata Capital’s successful IPO will therefore not only support its expansion plans but also position it as a compliant and well-capitalized financial institution covering diverse lending and investment avenues.

Strong Financials and Asset Quality:

Tata Capital has shown robust financial performance in recent years, with total gross loans reaching ₹2.26 lakh crore as of March 2025. This represents an impressive compound annual growth rate (CAGR) of 37% between FY23 and FY25. The company’s profit after tax (PAT) also rose steadily, standing at ₹3,646.6 crore in FY25 compared to ₹3,029.2 crore in FY23, growing at a CAGR of 10%. Significantly, despite rapid growth, Tata Capital has maintained strong asset quality. As of the end of FY25, its consolidated gross non-performing assets (NPAs) were at a low 1.9%, with net NPAs at an even healthier 0.8%. This balance of growth and credit discipline underscores Tata Capital’s prudent risk management and operational strength in a competitive financial services market.

Business Expansion and Services:

Tata Capital started financing in 2007 and has since grown steadily, serving more than seven million consumers as of March 31, 2025. Besides financing, the business provides a wide range of services, such as distributing credit cards and insurance from third parties. In addition, Tata Capital serves as a sponsor and investment manager for private equity funds and offers complete wealth management solutions. Its market position is strengthened and investors are given a comprehensive picture of its growth prospects thanks to this diverse company portfolio.

Tata Capital’s upcoming $2 billion IPO represents a key step in its expansion and compliance strategy. Backed by strong financials, robust asset quality, and a diversified product mix, the IPO is expected to attract significant investor interest. As the offering opens in late September, the market will closely watch how this move influences the broader financial services landscape in India, positioning Tata Capital as a formidable player among non-banking financial institutions.
